These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and Tizela Technologies Ltd ("Tizela", "we", "our", or "us") governing your access to and use of the Tizela website, mobile applications, and all related services (collectively, the "Platform").
Please read these Terms carefully before using the Platform.
By creating an account, accessing the Platform, or using any Tizela service, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. About Tizela
Tizela is an online marketplace that connects users with verified hosts offering:

Short-let apartments

Car rentals
Tizela facilitates bookings, payments, communication, and dispute resolution but is not the owner, operator, or manager of the properties or vehicles listed on the Platform unless expressly stated otherwise.
2. Eligibility
To use Tizela you must:

Be at least 18 years old.

Have the legal capacity to enter into binding contracts.

Provide accurate and complete information.
-
Maintain only one personal account unless expressly approved by Tizela.
We may refuse registration or suspend accounts that do not meet these requirements.
3. User Accounts
You are responsible for:

Maintaining the confidentiality of your account credentials.

All activities conducted under your account.
-
Keeping your information accurate and up to date.
-
Promptly notifying Tizela of any unauthorized access or suspected security breach.
Tizela reserves the right to suspend or terminate accounts that contain false information or are used fraudulently.
4. Identity Verification
To maintain a trusted marketplace, Tizela may require identity verification before allowing users to:

Make certain bookings

Publish listings
-
Receive payouts
-
Access specific platform features
Verification may include government-issued identification, facial verification, business registration documents, proof of ownership, or other information reasonably required by Tizela.
Verification does not constitute a guarantee of a user's identity or conduct.
5. Booking Process
Guest Bookings
A booking request does not constitute a confirmed reservation.
A booking is confirmed only when:

the host accepts the booking request;
-
payment has been successfully completed; and
-
Tizela issues a booking confirmation.
If a host does not respond within 24 hours, Tizela may send an automated reminder.
If the booking remains unanswered after 24 hours, the request will automatically expire or be declined.
Availability
Upon confirmation and successful payment, the reserved dates are immediately blocked to prevent double bookings.
Hosts are responsible for maintaining accurate availability calendars.
6. Payments
All payments must be made exclusively through Tizela.
Users must never:

pay outside the Platform;
-
request off-platform payments; or
-
encourage others to bypass Tizela.
Doing so may result in immediate suspension.
Payments are securely processed through licensed payment partners.
7. Escrow
For eligible bookings:
-
guest payments are held securely in escrow;
-
payouts are released according to Tizela's payout schedule;
-
refunds are processed according to the applicable Cancellation Policy.
Tizela may temporarily delay payouts where fraud, disputes, or legal requirements exist.
8. Host Responsibilities
Hosts agree to:
-
provide accurate listing information;
-
keep pricing current;
-
maintain availability calendars;
-
ensure listings comply with applicable laws;
-
honour confirmed bookings;
-
provide clean, safe, and accurately represented accommodations or vehicles;
-
communicate respectfully with guests.
Hosts must not knowingly provide misleading information.
9. Guest Responsibilities
Guests agree to:
-
provide truthful information;
-
comply with listing rules;
-
respect the host's property;
-
return rented vehicles in the agreed condition;
-
pay all applicable fees;
-
avoid causing damage or nuisance.
Guests remain financially responsible for damage they or their invited occupants cause.
10. Cancellation Policy
Each listing is assigned a cancellation policy selected by the host from the options made available by Tizela.
Refund eligibility depends on:

the cancellation policy selected;
-
the date and time of cancellation; and
-
the booking type.

11. Host Cancellation
If a host cancels a confirmed booking:
-
the guest will receive a full refund;
-
Tizela may impose penalties;
-
repeated cancellations may result in listing removal or account suspension.
12. Reviews
Guests and hosts may leave reviews following completed bookings.
Reviews must:
-
be truthful;
-
relate to genuine experiences;
-
avoid abusive language;
-
avoid discrimination;
-
avoid defamatory statements.
Tizela reserves the right to remove reviews that violate our policies.
13. Prohibited Activities
Users must not:
-
commit fraud;
-
impersonate another person;
-
upload false listings;
-
manipulate reviews or ratings;
-
use stolen payment methods;
-
damage property intentionally;
-
harass users;
-
discriminate unlawfully;
-
introduce malware;
-
scrape Platform data;
-
interfere with Platform security;
-
circumvent Tizela fees;
-
use the Platform for illegal purposes.
14. Intellectual Property
All intellectual property relating to Tizela, including software, branding, logos, text, graphics, databases, designs, and technology, belongs to Tizela or its licensors.
Users receive a limited, non-exclusive licence to use the Platform solely for its intended purpose.
15. User Content
You retain ownership of the photographs, descriptions, reviews, and other content you submit.
By uploading content, you grant Tizela a worldwide, royalty-free licence to:

display;
-
reproduce;
-
distribute;
-
modify for formatting purposes;
-
promote listings and the Platform.
You represent that you own or have permission to use all uploaded content.
16. Suspension and Termination
Tizela may suspend or permanently terminate accounts that:

violate these Terms;
-
engage in fraud;
-
receive repeated verified complaints;
-
attempt to bypass the Platform;
-
create safety risks;
-
abuse customer support.
Termination does not remove outstanding financial obligations.
17. Disclaimers
Tizela operates a technology marketplace.
Except where required by law, Tizela does not guarantee:
-
uninterrupted Platform availability;
-
accuracy of every listing;
-
behaviour of guests or hosts;
-
suitability of any listing;
-
uninterrupted payment services.
Users transact at their own risk, subject to the protections offered by Tizela's policies.
18. Limitation of Liability
To the maximum extent permitted by law, Tizela shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use of the Platform.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
19. Indemnification
You agree to indemnify and hold harmless Tizela, its directors, employees, affiliates, contractors, and partners against claims, liabilities, damages, losses, costs, and expenses arising from:

your breach of these Terms;

your misuse of the Platform;

your violation of applicable law; or
-
your infringement of another person's rights.
20. Privacy
Your use of Tizela is also governed by our Privacy Policy, which explains how we collect, process, and protect personal information.
21. Force Majeure
Tizela shall not be liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, internet outages, acts of government, civil unrest, strikes, pandemics, or failures of third-party infrastructure.
22. Changes to these Terms
We may amend these Terms from time to time.
Where changes are material, we will notify users through the Platform or by email.
Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
23. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria.
Before commencing legal proceedings, users agree to first attempt to resolve disputes by contacting Tizela.
If a dispute cannot be resolved amicably, it shall be submitted to the courts of competent jurisdiction in Lagos State, Nigeria, unless otherwise required by applicable law.
